Terms of Service 1. Acceptance of Terms These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and PersonaMini (the “Service,” “we,” “us,” or “our”). By creating an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Service. 2. Description of the Service PersonaMini is an experimental conversational artificial-intelligence service provided solely for general informational, educational, and entertainment purposes. The Service generates responses based on probabilistic models and is not designed, intended, or warranted to provide professional advice of any kind. You expressly acknowledge and agree that you shall not rely upon any output, response, or information generated by the Service for medical, legal, financial, investment, tax, emergency, safety, or any other high-stakes decision-making. Responses produced by the Service may be inaccurate, incomplete, outdated, offensive, biased, misleading, or otherwise unexpected. You assume full and sole responsibility for any actions taken or decisions made based on information obtained through the Service. 3. Eligibility You represent and warrant that you are at least the age of majority in your jurisdiction of residence and possess the legal capacity to enter into these Terms. If you are accessing or using the Service on behalf of an entity, you further represent that you have authority to bind that entity to these Terms. 4. Account Registration and Security To access certain features of the Service you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to comply with these security obligations. 5. Acceptable Use and Prohibited Conduct You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you shall not, and shall not permit any third party to: - use the Service to harm, threaten, harass, defame, or otherwise injure any person or entity; - engage in any activity that violates applicable local, state, national, or international law or regulation; - impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity; - collect, store, or share private, confidential, or personally identifiable information of others without proper authorization; - attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service; - interfere with or disrupt the integrity or performance of the Service; - reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying models of the Service; or - use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service. 6. User Content and Conversations You retain ownership of any content you submit to the Service, including conversation inputs. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce, process, and display such content solely as necessary to operate and provide the Service. You represent and warrant that you have all rights necessary to grant the foregoing license and that your content does not violate any third-party rights or applicable law. 7. Data Collection and Storage In order to operate and provide the Service, we collect and store certain information, including but not limited to your email address, password hash, account settings, and conversation history. By using the Service you consent to such collection, storage, and processing for the purpose of operating and providing the Service. Separately, if you actively opt in by selecting the additional checkbox for data contribution or service improvement (the “Data Help” option), you further grant us permission to retain, review, and use your conversation data and related information to help improve, train, and enhance the Service. This optional use for improvement purposes will occur only if you have selected that checkbox. You may withdraw this optional consent at any time through your account settings, subject to any data already processed prior to withdrawal. We handle all information in accordance with applicable data-protection laws and our operational requirements. 8. Intellectual Property The Service, including all software, models, interfaces, text, graphics, and other materials, is and shall remain the exclusive property of PersonaMini or its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Service or any related intellectual-property rights, except for the limited right to access and use the Service in accordance with these Terms. 9. Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERSONAMINI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE LIMITED TO ZERO (USD $0). 11. Indemnification You agree to defend, indemnify, and hold harmless PersonaMini and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Service. 12. Termination We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service shall immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 13. Modifications to the Terms We reserve the right to modify, amend, or update these Terms at any time. We will provide notice of material changes by posting the revised Terms within the Service or by other reasonable means. Your continued use of the Service following the effective date of any such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service. 14. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in the applicable jurisdiction, and you consent to the personal jurisdiction of such courts. 15. Miscellaneous If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and PersonaMini regarding the Service and supersede all prior or contemporaneous agreements, representations, and understandings. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. 16. Service Operation and Improvement We may operate, maintain, and improve the product.
